set forth herein, in the Declaration of Scott D. Cousins (the "Cousins Declaration"), which is attached hereto as Exhibit A and incorporated herein by reference, and in the Declaration of Brett Hill (the "Hill Declaration"), which is attached hereto as Exhibit B and incorporated herein by reference. In further support of this Application, the Committee respectfully states as follows: Jurisdiction, V cnue and Statutory Predicates I.
The Court has jurisdiction over this Application pursuant to 28 U.S.C. §§ 157 and
1334. Venue is proper in this district pursuant to 28 U.S.C. § 1408. This matter is core within the meaning of28 U.S.C. § 157(b)(2). 2.
The statutory predicates for the relief sought herein are sections 328(a), 330 and
1103(a) of the Bankruptcy Code, Bankruptcy Rules 2014(a), 2016(b) and 5002, and Local Rule 2014-1. Background
3.
On March 14, 2014 (the "Petition Date"), the Debtors filed voluntary petitions
for relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware (the "Court"). Pursuant to sections 1107(a) and 1108 of the Bankruptcy Code, the Debtors continue to operate their businesses and properties as debtors-in-possession. No trustee or examiner has been appointed in these cases. 4.
On March 26, 2014 (the "Retention Date"), the Office of the United States
Trustee (the "UST") appointed the Committee pursuant to section 1102 of the Bankruptcy Code. The Committee consists of the following seven members: (i) Aprendo Strada, Inc.; (ii) DDR Corp.; (iii) FX Networks; (iv) Ghazi Hajj; (v) Maple Leaf Bakery Inc.; (vi) Pepsi-Cola Company; and (vii) John Brandon Turner.

That same day, the Committee selected Otterbourg P.C. ("Otterbourg") as its
proposed counsel, BDO Consulting LLP as its proposed financial advisor, and CCB as its proposed Delaware counsel pursuant to section 11 03 of the Bankruptcy Code. Relief Requested

By this Application, the Committee respectfully requests that this Court enter an
order authorizing the employment and retention of CCB as Delaware counsel to the Committee in these cases, nunc pro tunc to the Retention Date, to perform the services that will be necessary during these chapter 11 cases pursuant to the terms set forth in this Application and the Cousins Declaration. CCB's Qualifications
7.
The Committee seeks to retain CCB because of the firm's general experience and
knowledge in the field of debtor and creditor rights and business reorganizations under chapter 11 of the Bankruptcy Code. The Committee believes that CCB is especially well suited for the type of representation required by the Committee because of its substantial experience appearing before courts in this District and its substantial experience representing committees and creditors in complex bankruptcy cases. In particular, CCB's attorneys have been involved in many of the largest and most complicated business reorganizations in Delaware's federal courts and jurisdictions across the country. 8.
Accordingly, the Committee has determined that CCB has the resources and
experience necessary to deal effectively with many of the potential legal issues that may arise in the context of the Debtors' chapter 11 cases. The Committee believes that CCB's employment is in the best interest of the Debtors, their estates and their creditors. Thus, the Committee desires that CCB represent them as Delaware counsel in connection with these cases.

Scope of Employment 9.
The professional services that CCB expects to render to the Committee include,
but shall not be limited to, the following: a.
Provide legal advice with respect to the rights, powers and duties of the Committee in these chapter 11 cases;
b.
Assist the Committee in its investigation and analysis of the acts, conduct, assets, liabilities and financial condition of the Debtors, the operation of the Debtors' businesses, any other matter relevant to the Debtors' cases, and the extent to which such matters may affect the Debtors' creditors;
c.
Participate in negotiations with parties-in-interest with respect to any disposition of the Debtors' assets, plan of reorganization and disclosure statement in connection with such plan, and otherwise protect and promote the interests of the Debtors' creditors;
d.
Prepare all necessary applications, motions, responses, objections, answers, orders, reports and other legal papers on behalf of the Committee, and appear on behalf of the Committee at Court hearings as necessary and appropriate in connection with the Debtors' cases;
e.
Represent the Committee in any and all matters arising in these chapter 11 cases, including any disputes or issues with the Debtors, alleged secured creditors and other third parties;
f
Represent the Committee in all aspects of confirmation proceedings;
g.
Render legal advice and perform legal services in connection with the foregoing; and,
h.
Perform all other necessary legal services in connection with these chapter 11 cases, as may be requested by the Committee.

Subject to this Court's approval of this Application, CCB has indicated that it is
willing to serve as Committee counsel in these cases to perform the services described above. CCB's Disinterestedness 11.
As set forth in greater detail in the Cousins Declaration, CCB has undertaken a
conflicts check that compares certain Potentially Interested Parties (as defined in the Cousins Declaration) against a list of CCB's current and former engagements, clients and adverse parties.

To the best of the Committee's knowledge, based upon the Cousins Declaration, and except as otherwise set forth therein, CCB (a) does not hold or represent any interest adverse to the Debtors or their chapter 11 estates, their creditors, or any other party-in-interest in connection with these cases, and (b) is a "disinterested person" as that term is defined in section 101 (14) of the Bankruptcy Code. 2 12.
Through a firm-wide email, CCB has solicited information from its attorneys to
determine whether any attorneys employed by CCB are related to the Bankruptcy Judge presiding over these chapter 11 cases, the UST for Region 3, or any attorney known by CCB to be employed in the Delaware Office of the UST. CCB has also solicited information from its attorneys to determine if any attorneys employed by CCB (i) are investors of any of the Debtors, or (ii) were, within two years of the Petition Date, a director, officer, or employee of any of the Debtors.
No such connections have yet been discovered.
In the event that any related
information was or is received relevant to this Application, CCB either included such information in the Cousins Declaration or will supplement the Cousins Declaration as necessary. 13.
CCB has in the past represented and/or currently represents and may in the future
represent, other entities not currently known to CCB who may be creditors or equity holders of the Debtor in matters wholly unrelated to the Debtor's chapter 11 case. To the extent that CCB discovers any such information, CCB will promptly disclose such information to the Court on notice to creditors and the UST.
Section ll03(b) of the Bankruptcy Code provides that proposed counsel to an official committee of unsecured creditors may not represent any other entity having an adverse interest in connection with the Cases. CCB has made this disclosure with respect to disinterestedness out of an abundance of caution and to the extent required by section 328(c) of the Bankruptcy Code.

None of CCB's representations of creditors in this case comprise a material
component of CCB's practice, nor, except as disclosed herein, did it represent such parties on any issue relating to this estate. Professional Compensation
15.
Section 328(a) of the Bankruptcy Code authorizes the employment of a
professional person on any reasonable terms and conditions of employment, including on an hourly basis. See 11 U.S.C. § 328(a). CCB intends to apply for compensation for professional services rendered in connection with these cases subject to the approval of this Court and in compliance with applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules and orders of this Court, on an hourly basis, plus reimbursement of actual, necessary expenses and other charges incurred by CCB. CCB has advised the Committee that the current hourly rates applicable to the principal attorneys proposed to represent the Committee are: Rate Per Hour $645.00 $265.00

Other attorneys and paralegals will render services to the Committee as needed.
Generally,
CCB's hourly rates are in the following ranges: Professional Partners Associates Legal Assistants/Paralegals
Rate Per Hour $450.00 to $645.00 $250.00 to $450.00 $180.00 to $225.00
The Committee understands that the hourly rates set forth above are subject to periodic adjustments to reflect economic and other conditions. 16.
The hourly rates set forth above are CCB's standard hourly rates for work of this
nature both inside and outside of the bankruptcy context. These rates are set at a level designed to fairly compensate CCB for its work and to cover fixed and routine overhead expenses. It is

CCB' s policy to charge its clients in all areas of practice for all other expenses incurred in connection with the client's case. The expenses charged to clients include, among other things, telephone and telecopier toll and other charges, mail and express mail charges, special or hand delivery charges, document processing, photocopying and printing charges, travel expenses, expenses for working meals, computerized research, and transcription costs, as well as nonordinary overhead expenses such as overtime for secretarial personnel and other staff. CCB will charge the Debtors' estates for these expenses in a manner and at rates consistent with charges made generally to CCB's clients outside of bankruptcy.
CCB believes that these expenses
should be fairly charged to the clients incurring them rather than increasing hourly rates and spreading expenses among all clients. In addition, CCB intends to seek compensation for all time and expenses associated with its retention in accordance with sections 330 and 331 of the Bankruptcy Code and any orders of this Court, including the preparation of this Application, the Cousins Declaration, and related documents, as well as any monthly fee statements or interim or final fee applications and related issues. 17.
Other than as set forth herein, there is no proposed arrangement to compensate
CCB. CCB has not shared, nor agreed to share, (a) any compensation it has received or may receive with any other party or person, other than with the partners and associates of CCB, or (b) any compensation another person or party has received or may receive. Compliance with New UST Guidelines
18.
The Office of the UST recently adopted new Guidelines for Reviewing
Applications for Compensation and Reimbursement of Expenses Filed under II US. C. § 330 by Attorneys in Larger Chapter II Cases (the "New UST Guidelines"). By their terms, the New
UST Guidelines apply to the UST' s review of applications for compensation filed by attorneys in

larger chapter 11 cases and are intended as an update to the original guidelines (the "Original UST Guidelines") adopted in 1996.

Among other things, the New UST Guidelines ask attorneys in larger chapter 11
cases to provide additional documentation and make significant new disclosures in connection with their retention under sections 327 and 1103 and compensation under sections 330 and 331 of the Bankruptcy Code. Notably, the New UST Guidelines acknowledge that "the Guidelines do not supersede local rules, court orders, or other controlling authority," and it remains to be seen how the New UST Guidelines will be incorporated into larger chapter 11 cases. 20.
CCB intends to make a reasonable effort to comply with the UST's requests for
information and additional disclosures as set forth in the New UST Guidelines both in connection with this Application and the interim and final fee applications to be filed by CCB in these chapter 11 cases. CCB also intends to work cooperatively with the UST program to address the concerns that prompted the adoption of the New UST Guidelines. Notwithstanding the foregoing, the Committee and CCB reserve all rights as to the relevance and substantive legal effect of the New UST Guidelines in respect of any application for employment or compensation in these chapter 11 cases. 21.
In compliance with paragraph D.l. of the New UST Guidelines, CCB represents
as follows: a.
CCB and the Committee did not agree to any variations from, or alternatives to, CCB's standard and customary billing arrangements for this engagement;
b.
None of the CCB professionals included in this engagement vary their rates based on the geographic location of the applicable case;
c.
CCB did not represent the Committee in the twelve months preceding the Petition Date; and,

The Committee has approved CCB's proposed rates and staffing plan. With respect to a prospective budget, CCB intends to negotiate an acceptable budget as part of the final order approving, among other things, the proposed debtor-inpossession financing. 3 Request for Approval of Retention of CCB, Nunc Pro Tunc to March 26, 2014

The Committee requests that CCB's retention be made effective nunc pro tunc to
March 26, 2014 in order to allow CCB to be compensated for the work it performed for the Committee as of and following the Retention Date and prior to the Court's consideration and approval of this Application. Due to the size and complex nature of these chapter 11 cases, as well as the significant relief sought by the Debtors during the early stages of these chapter 11 cases, there was an immediate need for CCB to perform services for the Committee. Accordingly, immediately upon the selection of CCB as Delaware counsel to the Committee on the Retention Date, CCB turned its attention to urgent matters including, but not limited to, addressing a variety of issues relating to matters scheduled for the April 9, 2014 "second day" hearing in these chapter 11 cases. The Committee submits that under the circumstances, and to avoid irreparable harm to the Debtors' estates that may occur if CCB is not immediately retained, retroactive approval to the Retention Date is warranted. See, e.g., FIS Air/ease II, Inc. v. Simon (In re FIS Air/ease II, Inc.), 844 F.2d 99, 103 (3d Cir. 1988), cert. denied, 488 U.S. 852 (1988); Indian River Homes, Inc. v. Sussex Trust Co., 108 B.R. 46, 51 (D. Del. 1989).

Notice of the Application, including the Cousins Declaration attached hereto, has
been given to: (a) the Debtors; (b) counsel to the Debtors, Akin Gump Strauss Hauer & Feld LLP
The New UST Guidelines do not require that CCB prepare and submit a proposed budget in this case because the UST neither sought CCB's consent to request such a budget nor sought a Court order requiring such a budget. See, e.g., New UST Guidelines ~ E. Nevertheless, CCB intends to negotiate a budget as delineated herein.

To the best of my knowledge and information after due inquiry, and except as
disclosed herein, CCB has no known connection with the Debtors, their creditors, any other partyin-interest herein, or their respective attorneys or professionals, and does not hold or represent any entity having an adverse interest in connection with these chapter 11 cases. For so long as CCB represents the Committee, and absent further order of this Court, CCB will not represent any entity other than the Committee in connection with these chapter 11 cases. 3.
As more fully described herein, CCB maintains a computer client database (the
"Client Database") containing the names of all of CCB' s current and former clients and, where practical, the known affiliates of those clients. 4.
In connection with preparing this Declaration, I caused to be submitted to, and
caused to be checked against, the Client Database those potentially interested parties in these cases listed in Attachment 1 hereto, which party names were provided to CCB by the Debtors (collectively, the "Potentially Interested Parties"). CCB compared the names of the Potentially Interested Parties against the Client Database. Of the Potentially Interested Parties, CCB currently represents, may have recently represented, or in the future represent the following entities or their affiliates, as indicated, on matters unrelated to the Debtors: a.

Deutsche Bank Securities, Inc., an affiliate of Deutsche Bank TCA, serves as the syndication agent in these chapter 11 cases. CCB serves as Deutsche Bank TCA's Delaware counsel in the matter of Powerwave Technologies, Inc. (Case No. 13-10134 (MFW)).

American Registry for Internet Numbers: CCB has represented, currently represents, and in the future may represent, in matters unrelated to the Debtors or these chapter 11 cases, the American Registry for Internet Numbers (and/or its affiliates) ("ARIN"), a potential party-in-interest in these chapter 11 cases. CCB serves as ARIN's Delaware counsel in the matter of Capitol Infrastructure, LLC, et al. (Case No. 12-11362 (KG)).

Roval Bank of Scotland: CCB has represented, currently represents, and in the future may represent, in matters unrelated to the Debtors or these chapter 11 cases, Royal Bank of Scotland ("RBS") with respect to registration of foreign judgments under Delaware law. CCB has not provided legal services to RBS since 2013 and will not represent RBS in connection with the Debtors or these chapter 11 cases.

Douglas Johnson: CCB has represented, currently represents, and in the future may represent, in matters unrelated to the Debtors or these chapter 11 cases, an individual by the name of Douglas Johnson ("Mr. Johnson"). Mr. Johnson may or may not be a potential party-in-interest in these chapter 11 cases. Accordingly, CCB makes this disclosure out of an abundance of caution. CCB serves as Mr. Johnson's Delaware counsel in the matter of Stanziale v. Heico Holding Inc., et al. (Adv. Pro. No. 13-50941 (CSS)).

CCB does not believe that its representation of the entities and persons listed in
paragraph 4 of this Declaration in unrelated matters constitutes an adverse interest to the Debtors or their chapter 11 estates, their creditors or any other party-in-interest in connection with these cases. To the extent that the Committee determines to commence litigation against any of the entities listed in paragraph 4, CCB has obtained the necessary waivers from Wilmington Trust, Deutsche Bank TCA and RBS. To the extent that Mr. Johnson is the same potentially interested party listed in Attachment 1 hereto and with respect to ARIN, CCB will not proceed to undertake any litigation or other action against, or otherwise be adverse to, Mr. Johnson or ARIN on behalf

CCB maintains and systematically updates its Client Database in the ordinary
course of business, and it is the regular practice of CCB to make and maintain these records. The Client Database maintained by CCB is designed to include every matter on which CCB is now or has been engaged, the entity by which CCB is now or has been engaged and, in each instance, the identity of related parties and adverse parties and the name of attorney at CCB that is knowledgeable about the matter. It is the policy of CCB that no new matter may be accepted or opened without completing and submitting to those charged with maintaining the Client Database the information necessary to check each such matter for conflicts, including the identity of the prospective client, the matter, and related and adverse parties. Accordingly, the Client Database is regularly updated for every new matter undertaken by CCB. 7.
CCB' s representation of the above entities will not affect the Firm's representation
of the Committee in this case.
CCB has not, does not, and will not represent any of the
aforementioned entities or any of their respective affiliates or subsidiaries in matters related to the Debtors or the bankruptcy cases. 8.
CCB has in the past represented and/or currently represents and may in the future
represent, other entities not currently known to CCB who may be creditors or equityholders of the Debtor in matters wholly unrelated to the Debtor's chapter 11 case. To the extent that CCB discovers any such information, CCB will promptly disclose such information to the Court on notice to creditors and the United States Trustee by supplementing this Declaration. In the event that an actual conflict should arise, the Committee will seek the employment of conflicts counsel. 9.
None of CCB's representations of creditors in this case comprise a material
component ofCCB's practice, nor, except as disclosed herein, did it represent such parties on any issue relating to this estate.

Through a tirm-wide email, CCB has solicited information from its attorneys to
determine whether any attorneys employed by CCB are related to the Bankruptcy Judge presiding over these chapter 11 cases, the United States Trustee for Region 3, or any attorney known by CCB to be employed in the Delaware Office of the United States Trustee. CCB has also solicited information from its attorneys to determine if any attorneys employed by CCB (i) are investors of any of the Debtors, or (ii) were, within two years of the Petition Date, a director, officer, or employee of any of the Debtors. No such connections have yet been discovered. In the event that any related information was or is received relevant to this Application, CCB will supplement this Declaration to the extent necessary with such information. 11.
From time to time, CCB will review its disclosures in these chapter 11 cases and in

any partner or associate thereof, insofar as I have been able to ascertain based on the information currently available to me, represents any interest adverse to the Debtors in these cases or related to the matters for which CCB is to be engaged. To the best of my knowledge, information, and belief, CCB is a "disinterested person" 4 as that term is defined in section 101(14) of the Bankruptcy Code in that CCB, its partners and associates: a.
are not creditors, equity security holders, or insiders of the Debtors;

CCB intends to apply for compensation for professional services rendered in
connection with these chapter 11 cases subject to the approval of this Court and in compliance with applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, and orders of this Court, on an hourly basis, plus reimbursement of actual, necessary expenses and other charges incurred by CCB. The Committee understands that the hourly rates set forth above are subject to
periodic adjustments to reflect economic and other conditions. These rates are set at a level designed to fairly compensate CCB for its work and to cover fixed and routine overhead expenses. 15.
It is CCB' s policy to charge its clients in all areas of practice for all expenses
incurred in connection with the client's case. The expenses charged to clients include, among other things, telephone and telecopier toll and other charges, mail and express mail charges, special or hand delivery charges, document processing, photocopying and printing charges, travel

expenses, expenses for working meals, computerized research, and transcription costs, as well as non-ordinary overhead expenses such as overtime for secretarial personnel and other staff. CCB will charge the Debtors' estates for these expenses in a manner and at rates consistent with charges made generally to CCB 's clients outside of bankruptcy. CCB believes that these expenses should be fairly charged to the clients incurring them rather than increasing hourly rates and spreading expenses among all clients.
CCB intends to seek compensation for all time and expenses
associated with its retention in accordance with sections 330 and 331 of the Bankruptcy Code and orders of this Court, including the preparation of the Application, this Declaration, related documents, and any monthly fee statements or interim or final fee applications and related issues. 16.
Except as otherwise set forth herein, there is no proposed arrangement to
compensate CCB. CCB has not shared, nor agreed to share (a) any compensation it has received or may receive with any other party or person, other than with the partners and associates of CCB, or (b) any compensation another person or party has received or may receive.
